Job Description Reporting to the Group Lead of the Vendor Contracts Team, you will work as a part of a team of lawyers who negotiate, draft, and provide TD Bank, NA (TD) ongoing support related to procurement contracts, including: technology licensing, hardware purchasing, outsourcing, professional services, consulting services, payment association networks, store construction and renovation, facilities and asset management, building utilities, advertising and sponsorships. This role involves working independently and collaboratively with all areas of the business, other members of the U.S. and Canadian Legal Departments, and outside counsel, to deliver high quality service and expertise.
Job Requirements o Provide legal advice and support to strategic sourcing, contract, risk, compliance, business line, and department managers regarding vendor agreements and related matters. This will involve working independently and as a member of a team in negotiating, drafting, and providing ongoing support of such agreements.
o Provide best-in-class legal recommendations that are integrated with client strategies and objectives and coordinated across all relevant jurisdictions.
o Ensure legal risk is managed in accordance with the TD risk appetite and regulatory framework.
o Build and maintain effective working relationships with internal stakeholder groups.
o Contribute to priority bank-wide and Legal Department initiatives, including knowledge management and productivity initiatives.
o Provide advice and assistance in a clear, concise, and timely manner in a highly demanding and time sensitive environment.
o Understand both the law and the business context in which to apply the law.
Qualifications Education/Accreditations:
o JD and active state bar license in any state.
o Minimum of 7 years of experience in a technology or other supplier or purchaser transactional practice with a law firm, financial institution or in a corporate environment;
o Knowledge of key contract provisions and requirements, including limitations of liability, indemnification and insurance provisions
o Strong interpersonal and teamwork skills;
o Ability to think critically and to influence decision-making;
o Ability to work in a fast-paced, detail-oriented environment;
o Strong organization skills, with the ability to manage multiple deadlines and priorities;
o Maintain and build positive relationships with internal and external business partners;
o Management of other legal professionals.
